Well, you need 3DSMax with GIMS IV plugin. Also separate the model depending on the textures (e.g. if a model has 3 textures, then divide the textures based on it so you will need a model that has 3 parts such as head_000_r, uppr_000_u, lowr_000_u etc). Once you finished rigging and skinning it, use material editor and put textures with normal map and convert material. Sadly, it is quite a complex process as skinning the model can be pain. For example: I tried to port Cappie from Miside to GTA IV and her model was a buggy mess.
